Contact: [email protected]

These Terms of Use (the "Terms") govern access to and use of the Website content, resources, and materials made available by Improving Sales Performance. Please read them carefully before using the Website or accessing, viewing, streaming, or downloading any ISP Materials.

1. Acceptance of These Terms
By accessing or using the Website, submitting a form, creating or using an account, or accessing, streaming, or downloading any ISP Materials, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree, do not use the Website or access, stream, or download ISP Materials. Where ISP presents a checkbox or other affirmative acceptance mechanism, your selection constitutes your electronic acceptance of these Terms.
If you use the Website or ISP Materials on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.

2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Website or access ISP Materials. The Website is intended primarily for business and professional users.

3. Definitions
"ISP," "we," "us," or "our" means The Edmund Group LLC d/b/a Improving Sales Performance and, where applicable, its affiliates, licensors, and authorized service providers.
"Website" means improvingsalesperformance.com, its webpages and subdomains, and any related online portal or digital interface operated by or on behalf of ISP.
"ISP Materials" means all content made available by or on behalf of ISP, including articles, methodologies, frameworks, training decks, presentations, worksheets, workbooks, assessments, exercises, ebooks, videos, audio recordings, webinars, graphics, templates, downloads, and other educational, consulting, or professional development materials, whether provided through the Website, by email, in a client portal, or in connection with ISP services.

4. Ownership and Intellectual Property
The Website and ISP Materials, including their selection, organization, design, text, graphics, audiovisual elements, and other protectable content, are owned by ISP or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Except for the limited license expressly granted below, no right, title, or interest in the Website or ISP Materials is transferred to you.
The names, logos, product names, service names, frameworks, and other source identifiers displayed on the Website are trademarks or other proprietary identifiers of ISP, its licensors, or their respective owners. You may not use them without the applicable owner's prior written permission.
All rights not expressly granted in these Terms are reserved.

5. Limited License
Subject to your compliance with these Terms and any applicable Client Agreement, ISP grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Website for lawful business and professional purposes.
When the Website or ISP expressly permits a download, you may download one copy of the applicable ISP Material solely for your own authorized internal business, training, or professional development use. You may display a worksheet during an internal group exercise within your organization. No participant copy may be shared outside your organization. Each permitted copy must retain all copyright, confidentiality, watermark, attribution, and other proprietary notices. A download or delivery does not constitute a sale or transfer of ownership.

6. Restrictions on Use and Distribution
Unless ISP expressly authorizes the activity in writing, you may not: copy, reproduce, republish, distribute, forward, transmit, display, perform, post, upload, sell, rent, sublicense, or otherwise make ISP Materials available to an unauthorized person; share ISP Materials outside your organization or with individuals who are not authorized under the applicable Client Agreement; share account credentials, download links, access codes, or restricted portal access; modify, translate, adapt, abridge, combine, or create derivative works from ISP Materials; remove, obscure, alter, or circumvent a copyright notice, watermark, attribution, access control, or other proprietary notice or protection; use ISP Materials to create, market, or provide a competing product, service, training program, methodology, course, assessment, or consulting offering; upload, submit, disclose, or use ISP Materials as input to any public or third-party artificial intelligence, machine learning, or generative AI system, or use ISP Materials to train, fine-tune, evaluate, or improve any such system; record, photograph, screen-capture, transcribe, or redistribute a webinar, workshop, coaching session, or other ISP presentation without prior written permission; use automated systems, bots, scraping tools, crawlers, data-mining tools, or similar technology to access, collect, copy, index, or extract Website content, except for standard search-engine indexing that ISP has not blocked; circumvent security features, probe or test vulnerabilities, interfere with the Website, introduce malicious code, or attempt to gain unauthorized access; or use the Website or ISP Materials in violation of law, third-party rights, these Terms, or an applicable Client Agreement.

7. Accounts and Access Credentials
You are responsible for activity under your account to the extent permitted by law. ISP may require individual accounts and may prohibit generic or shared accounts.
ISP may limit, suspend, or revoke access to an account, portal, download, or ISP Material if ISP reasonably believes that the access has been shared, compromised, or used in violation of these Terms.

8. Feedback and Submissions
If you voluntarily provide suggestions, comments, or feedback about ISP's services or materials, ISP may use that feedback without restriction or compensation, provided that ISP will not publicly identify you as the source without permission.

9. Privacy
ISP's collection, use, and disclosure of personal information through the Website are described in ISP's Privacy Policy, which is available through the Website and is incorporated into these Terms by reference. Please review the Privacy Policy before submitting personal information.

10. Educational and Business Information Disclaimer
The Website and ISP Materials are provided for general educational, informational, consulting, coaching, and professional development purposes. They are not a substitute for advice tailored to all facts and circumstances of your business. You are responsible for your business decisions, implementation, and results.
Examples, case studies, testimonials, and descriptions of prior results reflect specific experiences and circumstances. They do not constitute a promise, representation, or guarantee that you or your organization will achieve the same or similar results. Sales, revenue, profitability, performance, and other business outcomes depend on numerous factors outside ISP's control.

11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ISP MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." ISP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND RESULTS. ISP DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not allow certain warranty exclusions. In that case, the exclusions apply only to the extent permitted by applicable law.

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISP AND ITS AFFILIATES, LICENSORS, CONTRACTORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE WEBSITE, ISP MATERIALS, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, ISP MATERIALS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID DIRECTLY TO ISP THROUGH THE WEBSITE FOR THE SPECIFIC WEBSITE PRODUCT OR RESOURCE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
This section does not limit liability that cannot be limited under applicable law.

13. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless ISP and its affiliates, licensors, contractors, officers, directors, employees, and agents from third-party claims, damages, liabilities, judgments, settlements, costs, and reasonable attorneys' fees arising out of or relating to: (a) your violation of these Terms; (b) your unauthorized use, copying, disclosure, or distribution of ISP Materials; (c) your violation of law or third-party rights; or (d) content or information you submit through the Website. ISP may control the defense and settlement of a claim, and you will reasonably cooperate. ISP will not settle a claim in a manner that admits wrongdoing by you or imposes a non-monetary obligation on you without your consent, not to be unreasonably withheld.

14. Suspension and Termination
ISP may suspend or terminate your access to the Website or ISP Materials, revoke the license granted under these Terms, or remove content or links if you violate these Terms, create a security or legal risk, misuse ISP Materials, or fail to pay. Where commercially reasonable, ISP may provide notice and an opportunity to cure, but immediate action may be taken to prevent unauthorized distribution, security harm, infringement, or unlawful use.
Upon termination or revocation, you must stop using the affected ISP Materials and, upon request, delete or destroy unauthorized copies. Sections concerning ownership, restrictions, feedback, disclaimers, liability, indemnification, governing law, and other provisions that by their nature should survive will survive termination.

15. Copyright and Unauthorized Use Notices
If you believe that ISP Materials have been copied, posted, or distributed without authorization, or that content on the Website infringes a copyright you own or are authorized to enforce, contact ISP at [email protected]. Your notice should identify the copyrighted work, the allegedly infringing material and its location, your contact information, the basis for your authority, and any other information reasonably necessary for ISP to evaluate the notice.

16. Governing Law and Venue
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. You and ISP consent to the exclusive jurisdiction of state and federal courts of competent jurisdiction located in Colorado for disputes arising out of or relating to these Terms, the Website, or ISP Materials. Nothing in these Terms prevents ISP from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or access rights.

17. General Provisions
These Terms, together with the Privacy Policy, constitute the applicable agreement between you and ISP concerning the Website and ISP Materials. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. ISP's failure to enforce a provision is not a waiver. You may not assign these Terms without ISP's prior written consent. ISP may assign these Terms in connection with a merger, reorganization, sale of assets, or transfer of the Website or applicable business. Section headings are for convenience only.
